Live Deal Mode Terms

By initiating, joining, or participating in any Live Deal session, you agree to these Terms in addition to the Terms of Service. If you do not agree, do not initiate or participate in any Live Deal.

1. What Live Deal Mode Is

Live Deal Mode is a private, real-time negotiation cockpit where a specific buyer and seller synchronize records and negotiate the transaction of a single vehicle in a shared deal room. Live Deal Mode is distinct from the EASIQ Marketplace. Live Deal sessions are private to the invited parties and do not constitute public listings.

2. What Live Deal Mode Is Not

Live Deal Mode is not an escrow service, payment processor, money transmitter, broker, dealer, auctioneer, licensed intermediary, title agent, DMV agent, registration agent, tax preparer, lender, or guarantor of any party. EASIQ LLC does not hold, transmit, transfer, process, escrow, or in any way handle funds between buyer and seller in a Live Deal session.

3. The No-Money Rule

EASIQ LLC does not handle money in Live Deal Mode. All funds transfer between buyer and seller occurs outside of EASIQ, by methods the parties agree upon (wire transfer, certified check, cash, financing, or other lawful means). EASIQ LLC has no visibility into, control over, or responsibility for the transmission, receipt, security, or successful clearing of any funds. Each party is responsible for verifying receipt of funds before transferring title or possession of the vehicle.

4. Initiating a Live Deal

A Live Deal session is initiated when a Member (the "Initiator") taps Start Live Deal on a Vehicle Passport and shares the unique session link or QR code with another party (the "Counterparty"). Both parties must be at least 18 years old, legally able to enter contracts, and the authorized owners or authorized representatives of the parties to the proposed transaction.

5. Synchronized Records

During a Live Deal session, both parties see the same VIN, the same comparable sales data, the same APEX market verdict, the same Passport information, and the same surface inspection data. Either party may propose edits to the vehicle specification; the other party accepts or rejects. Accepted edits trigger re-evaluation of comparable sales and APEX verdicts in real time. All changes are logged.

6. Offers and Counter-Offers

Either party may post offers, counter-offers, and conditional terms during the Live Deal session. Each offer is timestamped and logged. The offer history is part of the permanent record. An offer is not a binding agreement to purchase or sell; only the Shake Hands action creates a documented agreement to terms.

7. The Shake Hands Action

The Shake Hands action requires both parties to confirm the final agreed price, configuration, and any agreed terms through a two-key mutual confirmation process. When both parties confirm:

  • The Live Deal session is marked complete and locked;
  • A Sale Record is frozen on the Vehicle Passport, including final price, configuration, photographs, comps, APEX verdict, and inspection data at the moment of Handshake;
  • A digital Bill of Sale is generated and delivered to both parties;
  • The session is closed to further edits;
  • The Sale Record becomes part of the permanent provenance of the vehicle.

8. The Bill of Sale — Witness Record Only

The Bill of Sale generated by Live Deal Mode is a witness record of the agreement reached between the parties. The Bill of Sale: does not transfer legal title to the vehicle; does not constitute registration of the vehicle; does not constitute proof of payment; does not replace state DMV procedures; does not replace any lien release; does not constitute notarization. Each party is solely responsible for completing all required state DMV title transfer, registration, lien release, and any other regulatory filings required by their jurisdiction.

9. Tax Responsibility

Each party is solely responsible for determining and remitting any applicable sales tax, use tax, transfer tax, income tax, capital gains tax, or other taxes arising from a vehicle transaction. EASIQ LLC does not collect, calculate, withhold, remit, or report taxes on behalf of users. The Bill of Sale may be used by the parties as documentation for their tax filings.

10. Frozen Record — No Reversal

Once a Shake Hands action is confirmed by both parties, the EASIQ record is frozen as a Sale Record on the Passport. EASIQ LLC will not modify, reverse, annotate, or otherwise alter the Sale Record on the basis of disputes arising between the parties after the Shake Hands event. Disputes between buyer and seller must be resolved between the parties or through arbitration as provided in the EASIQ Terms of Service.

11. Disputes Between Parties

EASIQ LLC is not a party to any transaction between buyer and seller. EASIQ LLC will not adjudicate disputes between parties to a Live Deal session, will not arbitrate disagreements about vehicle condition or compliance with agreed terms, will not refund or compensate either party for losses arising from another party's conduct, and will not participate in litigation, arbitration, or other proceedings between parties to a Live Deal session except as required by law (for example, in response to a valid subpoena).

12. Identity and Authority

Each party represents and warrants that: (a) the party is at least 18 years old and legally able to enter contracts; (b) the party is who they claim to be; (c) if the party is selling, the party owns the vehicle free and clear (or will obtain release of any lien before title transfer); (d) the party has full authority to enter into the transaction; and (e) all information provided to the Counterparty about the vehicle is accurate to the best of the party's knowledge. EASIQ LLC does not verify identity, ownership, or authority. Parties are strongly encouraged to verify Counterparty identity, ownership, and authority before initiating a Shake Hands action.

13. Vehicle Condition Disclosures

Sellers must disclose any material defect, accident history, modification, or condition known to the seller that could affect the buyer's decision. Failure to disclose may constitute fraud and may give rise to claims between the parties. Buyers are responsible for conducting any inspection they deem necessary before initiating a Shake Hands action.

14. International and Cross-Border Transactions

Live Deal Mode is available globally where the Service is available. International transactions are subject to additional regulatory requirements (export controls, customs, sanctions, currency conversion, international shipping). EASIQ LLC does not facilitate, assist with, or take any role in cross-border transactions beyond providing the Live Deal cockpit. Parties to cross-border transactions are solely responsible for compliance with all applicable laws.

15. Cancellation of Active Sessions

Either party may cancel an active Live Deal session at any time before Shake Hands. Once Shake Hands has been initiated and confirmed by both parties, the session cannot be canceled and the Sale Record is permanent.

16. EASIQ Liability in Live Deal Mode

EASIQ LLC provides the Live Deal cockpit on an as-is, as-available basis. EASIQ LLC disclaims all warranties of any kind regarding Live Deal Mode, including warranties of accuracy of comparable sales data, accuracy of APEX verdicts, accuracy of inspection data, suitability of the vehicle for the buyer's purpose, condition of the vehicle, and title or ownership of the vehicle. EASIQ LLC's total aggregate liability arising from any Live Deal session is subject to the limitation of liability set forth in the EASIQ Terms of Service.

17. Future Optional Services

EASIQ LLC may, in the future, offer optional services such as escrow, title transfer assistance, verified inspection, or transaction insurance. Any such services will be offered through separate written agreements and will be opt-in. Until and unless such services are offered and accepted, EASIQ LLC provides only the Live Deal cockpit as described herein.

18. Modifications to These Terms

EASIQ LLC may modify these Live Deal Mode Terms from time to time. Material changes will be notified at least 14 days before they take effect. Sessions initiated after the effective date of any modification are governed by the modified terms. Sessions initiated before any modification continue to be governed by the version in effect when the session was initiated.
