1. The Agreement & The Parties
These Terms of Service ("Terms") form a binding contract between you and EASIQ LLC, a Nevada limited liability company ("EASIQ", "we", "us", "our"), the operator of the EASIQ, EASIQ PRO, APEX, Codex, Atlas, Passport, Black Book, Live Deal Mode, and affiliated sub-brands. By creating an account, joining the waitlist, opening a Deal Room, generating a Report, viewing a paywalled page, or otherwise using any part of the service (collectively, the "Service"), you accept these Terms. If you do not agree, do not use the Service.
Partners enrolled in the EASIQ Partner Network are also governed by the Partner Network Terms, incorporated by reference. In the event of conflict between these Terms and the Partner Network Terms, the Partner Network Terms control for Partner activities.
2. Eligibility & Jurisdiction
You must be at least 18 years old and legally able to enter contracts. You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list. You access the Service on your own initiative and are responsible for compliance with the laws of your jurisdiction. We make no representation that the Service is appropriate or available in any particular location.
Children's Privacy. The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13. If we learn that we have collected such information, we will delete it promptly. Users between 13 and 17 may not use the Service without verifiable parental consent.
3. The Service
The Service includes, among other features we may add or remove: digital garage and service records; the EASIQ Passport; the APEX AI advisor and chat tools; the Codex market intelligence layer; the Atlas roads, drives, and events directory; the Black Book of providers; the EASIQ Marketplace; Live Deal Mode; Scout listing alerts; EASIQ PRO Scanner, COMPS, Reports, and Surface Inspections for professional users; valuations and the EASIQ Score; and related websites, mobile experiences, server functions, and emails. We may modify, suspend, or discontinue any feature at any time, with or without notice.
4. Accounts & Security
You are responsible for everything that happens under your account, including the acts of anyone you permit to access it. Accounts are personal and may not be shared, resold, or transferred. EASIQ PRO seats are licensed per natural person except where the Location plan permits multiple staff under one verified physical address. Keep credentials confidential and notify us promptly of any unauthorized use. We may require identity verification at any time, especially before publishing a listing, opening a Deal Room, or generating a PRO Report.
5. Membership Tiers, Trial, Billing
Plans, pricing, trial eligibility, autopay, cancellation, proration, taxes, and dunning are governed by the Payment & Billing Terms, the 60-Day Trial Terms, and the Refund Policy, each incorporated by reference. The EASIQ PRO Founding Cohort (first 50 PRO subscribers) receives a 12-month rate lock per individual signup date, after which the subscription renews at then-current list price. Consumer tiers (Driver, Aficionado) have no founding rate or rate lock.
6. Acceptable Use
You agree to the Account Policy & Acceptable Use, incorporated by reference. Without limitation, you will not: scrape or bulk-extract the Service or its data; resell APEX outputs, comps, or reports as your own commercial product; misrepresent a vehicle; impersonate another party; attempt to derive personally identifying information about other users; reverse-engineer the Service; submit false service records to inflate provenance; or use the Service to commit, conceal, or facilitate any unlawful act.
No Automated Access. You will not access the Service using any automated means, including bots, scrapers, crawlers, AI agents, headless browsers, or scripts, except for search-engine indexing of public pages with our prior written permission. Any automated access to APEX, COMPS, Atlas, Codex, Passport, or other data layers is strictly prohibited.
7. User Content & License to EASIQ
You retain ownership of content you upload — photos, VIN images, service records, listings, drives, Deal Room messages, Passport entries, reports, and inspection videos ("User Content"). You grant EASIQ a worldwide, royalty-free, transferable (only to affiliates of EASIQ or to any successor or acquirer of substantially all of EASIQ's business or assets) license, with limited sublicensing rights solely for the purpose of using third-party service providers (such as cloud hosting, AI model providers, image processing services, mapping providers, and similar infrastructure vendors) to operate the Service, to host, store, reproduce, transmit, display, adapt for format, back up, and create technical derivatives of User Content solely to operate, secure, and improve the Service and to deliver features you request — including public listings, shareable Passports, Bills of Sale, approved community drives, and aggregated, de-identified market intelligence. EASIQ will not sublicense User Content to third parties for any independent commercial purpose. You represent and warrant that you own or have all necessary rights in User Content and that its use by us as described will not infringe any third-party right.
8. Marketplace — Public Listing Venue
The EASIQ Marketplace is a public listing venue where Members may post vehicles for sale and where prospective buyers may browse listings. EASIQ Marketplace listings are public-facing and discoverable. This Section 8 governs all aspects of public listings.
EASIQ LLC is not a party to any transaction between buyers and sellers, is not a licensed dealer, broker, or auctioneer, does not take title to vehicles, does not act as an escrow agent, and makes no warranty of merchantability, fitness, condition, title, mileage accuracy, or value. Buyers must independently inspect, verify history, confirm title and liens, arrange financing, and comply with applicable registration and tax law. Sellers are solely responsible for the accuracy of their listing and for any disclosures required by their jurisdiction.
9. Live Deal Mode — Private Negotiation, Information + Handshake Only
Live Deal Mode is a private, real-time negotiation cockpit where a specific buyer and seller synchronize records and negotiate a transaction in a shared deal room. Live Deal Mode is private to the invited parties and does not constitute a public listing. This Section 9 governs all aspects of Live Deal Mode.
EASIQ does not handle money in Live Deal Mode. The Live Deal Mode Terms are incorporated by reference. EASIQ is not an escrow service, payment processor, money transmitter, broker, dealer, auctioneer, licensed intermediary, title agent, or DMV/registry agent. The Bill of Sale we generate is a witness record only; it does not constitute title transfer, registration, or proof of payment. Identity, authority, vehicle condition, funds, and regulatory filings are the sole responsibility of the parties.
Each party acknowledges that the Bill of Sale generated by Live Deal Mode does not transfer legal title to the vehicle. Title transfer must be completed through the applicable state Department of Motor Vehicles or registry per local law. Each party assumes sole responsibility for completing all required title, registration, lien release, sales tax, use tax, transfer tax, and other regulatory filings arising from the transaction. EASIQ disclaims any obligation to facilitate, witness, notarize, complete, or remit on any state title or registration procedure or tax obligation. Once a Shake Hands action is confirmed by both parties, the EASIQ record is frozen as a Sale Record on the Passport; EASIQ will not modify, reverse, annotate, or otherwise alter the Sale Record on the basis of disputes arising between the parties after the Shake Hands event.
Tax Reporting. Each party is solely responsible for determining and remitting any applicable sales tax, use tax, transfer tax, income tax, or other taxes arising from a vehicle transaction. EASIQ does not collect, calculate, withhold, or remit taxes on behalf of users.
10. APEX AI — Informational, Not Advice
APEX and every other AI surface in the Service produce informational, opinionated output that may be incomplete, outdated, biased, or factually wrong (an "AI Hallucination"). See the APEX AI Policy. APEX is not a lawyer, accountant, mechanic, appraiser, financial advisor, insurance broker, or licensed professional of any kind, and APEX outputs are not legal, financial, tax, mechanical, safety, insurance, or investment advice. Do not rely on APEX for any decision that requires professional verification. You assume all risk of acting on AI output.
11. Valuations, EASIQ Score & Comps
All valuations, the EASIQ Score, comparable sales, market trends, dealer-grade comps, COMPS Reports, auction results, and price guidance are estimates produced from third-party data, scraped public sources, and statistical models. Specifically, EASIQ valuations are not USPAP-compliant appraisals (the Uniform Standards of Professional Appraisal Practice — the standard for licensed appraisers), insurance valuations, financing valuations, court-admissible expert opinions, or any other form of certified appraisal. For any decision requiring a certified appraisal (including insurance binding, financing, legal proceedings, or estate valuation), engage a licensed appraiser. 12. EASIQ PRO Reports & Surface Inspections
PRO Scanner output, COMPS Reports, and Surface Inspection reports are informational tools intended to support — not replace — a licensed in-person pre-purchase inspection ("PPI"), mechanical inspection, title check, lien search, frame/paint/structural inspection, or appraisal. Surface Inspection is a visual analysis of user-supplied media; it cannot detect mechanical condition, hidden damage, electrical faults, fluid condition, structural integrity, accident history beyond what the video reveals, or any defect outside the camera frame. PRO users acknowledge that any decision to buy, sell, finance, insure, or represent a vehicle based on a Report is made at their own risk and on their own professional judgment.
PRO-Specific Liability Cap. PRO subscribers acknowledge and agree that EASIQ Reports are decision-support tools and do not constitute commercial guarantees of vehicle value, condition, or marketability. Notwithstanding any other provision of these Terms, EASIQ's total aggregate liability to any PRO subscriber, dealership, or trade user for any loss, damage, or claim arising from reliance on a Report, COMPS data, Surface Inspection, or other PRO output is limited to the Report's specific generation fee or the subscriber's monthly PRO subscription fee for the month in which the Report was generated, whichever is lower. This specific cap is in addition to and does not increase the general limitation of liability set forth in Section 23.
13. EASIQ Passport — Informational Provenance
The EASIQ Passport is a curated, signed snapshot of the records a user has added or that we have ingested. It is not a title, certificate of authenticity, registration, lien report, or guarantee of mileage, condition, or ownership history. A Passport reflects what was uploaded; uploaded records may be incomplete, mistaken, or fraudulent. Buyers must independently verify all material facts.
EASIQ does not verify the authenticity of records uploaded by users to a Passport. Users are solely responsible for the accuracy and authenticity of records they upload. Any party relying on a Passport in connection with a transaction or decision is responsible for independent verification of all material records. EASIQ disclaims any liability for losses arising from reliance on records uploaded by users that are subsequently determined to be incomplete, inaccurate, fraudulent, or unauthorized.
14. Atlas, Drives & Events — Assumption of Risk
Atlas roads, recommended drives, community drives, events, and meet-ups are curated user-and-editor suggestions. Road conditions, weather, traffic, closures, hazards, and law enforcement change constantly. You are solely responsible for operating your vehicle safely and lawfully, for your insurance and licensing, and for the conduct of your passengers. By using any Atlas feature you assume all risk of personal injury, property damage, citation, or loss arising from driving, attending an event, or following a routing recommendation.
15. Third-Party Data, Services & Links
The Service relies on third-party data sources (including but not limited to vehicle history providers, NMVTIS data, manufacturer schedules, scraped public listings, mapping providers, AI model providers, payment providers, and email providers). EASIQ LLC does not control these third parties and makes no warranty as to the accuracy, completeness, availability, or lawfulness of any data they supply. Links to third-party sites are provided for convenience; we do not endorse them and are not responsible for their content or practices.
16. Beta, Preview & Experimental Features
Features labelled Beta, Preview, Early Access, Founding, or similar are provided on an "as is, as available" basis with no SLA, may be modified or withdrawn at any time, and may produce unexpected output, data loss, or downtime. Use of such features constitutes acceptance of these heightened risks.
17. Intellectual Property
The EASIQ name and marks (including EASIQ, EASIQ PRO, APEX, Codex, Atlas, Passport, Black Book, Live Deal Mode, EAS, the EASIQ Score, and the wordmarks and logos thereof), the website, software, model prompts, taxonomies, glossaries, aggregated and derived market data, design system, and user-experience patterns are owned by EASIQ LLC (and on assignment, the Company Group) and are protected by copyright, trademark, trade-secret, and related laws. No license is granted except the limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You will not remove, obscure, or alter any proprietary notices.
Third-Party Marks. References within the Service to third-party vehicle manufacturers, tuners, aftermarket suppliers, parts, marques, and brand names (including but not limited to Porsche, Ferrari, Lamborghini, McLaren, Pagani, Bugatti, TechArt, HRE, Novitec, Akrapovic, Brembo, and similar) are made for informational, editorial, and descriptive purposes only. All such trademarks, service marks, and brand names referenced are the property of their respective owners. EASIQ is not affiliated with, endorsed by, sponsored by, or in any commercial relationship with any third-party brand referenced in the Service unless explicitly stated.
18. DMCA & Content Takedown
We respond to valid copyright complaints under the DMCA / Content Takedown policy and may remove infringing content and terminate repeat infringers.

19. Privacy & Cookies
Your use of the Service is also governed by our Privacy Policy and Cookie Policy, each incorporated by reference.
20. Suspension & Termination
We may suspend, restrict, or terminate any account or feature, with or without notice, if we reasonably believe you have violated these Terms, abused APEX or other AI surfaces, attempted to defraud another user, threatened platform security, exposed us to legal or reputational risk, or failed to pay amounts due. You may close your account at any time; certain records (including Bills of Sale, sale records on a Passport, financial records, security logs, and content we are legally required to retain) survive termination. On termination, your license to the Service ends; the licenses you granted us in Section 7 survive only to the extent needed to operate, retain, or distribute records the Service has already published or that we must retain by law.
Pro-Rata Refund on Good-Faith Termination. If EASIQ terminates a subscription account for reasons other than fraud, security threats, abuse of other users, violation of applicable law, or material breach of these Terms, EASIQ will refund the pro-rata unused portion of any prepaid subscription fees within thirty (30) days of termination. No refund is owed where termination is for cause, including but not limited to fraud, abuse, security threats, violation of law, or material breach of these Terms.
21. No Professional Advice (Umbrella)
Nothing on the Service constitutes legal, tax, accounting, financial, investment, insurance, mechanical, safety, appraisal, or medical advice. No advisor-client, broker-client, dealer-client, fiduciary, agency, partnership, or employment relationship is created between you and EASIQ LLC by your use of the Service.
22. Disclaimers
THE SERVICE, ALL CONTENT, AND ALL OUTPUTS (INCLUDING APEX OUTPUTS, VALUATIONS, EASIQ SCORE, COMPS, PRO REPORTS, SURFACE INSPECTIONS, PASSPORTS, ATLAS RECOMMENDATIONS, BILLS OF SALE, AND DEAL ROOM CONTENT) ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. EASIQ LLC DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASIQ LLC, THE COMPANY, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITY, DATA, OR USE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE, IN ANY 12-MONTH PERIOD, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SURVIVE TERMINATION.
24. Indemnification
You will defend, indemnify, and hold harmless EASIQ LLC, the Company, and their officers, directors, employees, contractors, and agents from and against any and all claims, demands, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content; (b) your listings, Deal Rooms, Reports, or Inspections; (c) any transaction you enter into with another user (including any Live Deal); (d) your breach of these Terms or any representation, warranty, or covenant herein; (e) your violation of any law or third-party right; or (f) any misuse of the Service by you or anyone using your account. We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with our defense.
25. Notice & Cure / Informal Resolution
Before filing any claim, you agree to first send a written notice describing the claim to legal@easiq.ai and to give us 60 days to investigate and attempt to resolve the dispute in good faith.
26. Binding Arbitration & Class-Action Waiver
If informal resolution under Section 25 fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules then in effect, in Las Vegas, Nevada, or another mutually agreed location, before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
CLASS-ACTION WAIVER: YOU AND EASIQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
30-Day Opt-Out: You may opt out of this Section 26 by emailing legal@easiq.ai within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out" and including your full name and account email. Opting out does not affect any other provision of these Terms.
Notwithstanding the above, either party may bring an individual action in small-claims court for disputes within its jurisdiction, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual-property rights.
27. Governing Law & Venue
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws rules. For any claim not subject to arbitration, the exclusive venue is the state and federal courts located in Clark County, Nevada, and the parties consent to personal jurisdiction there. The U.N. Convention on Contracts for the International Sale of Goods does not apply. Mandatory consumer-protection laws of your country of residence apply where required.
28. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government action, sanctions, labor disputes, pandemic, internet or power outages, third-party API failures, or model-provider outages.
29. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. EASIQ LLC may assign these Terms (including to any member of the Company Group or to any successor, affiliate, or acquirer of all or substantially all of the relevant business or assets) without your consent.
30. Severability, Survival & Entire Agreement
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect. No waiver of any term is a waiver of any other or subsequent breach. Sections governing User Content licenses (where required to operate already-published records), Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Arbitration, Governing Law, and any provision that by its nature should survive, will survive termination. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
31. Notices
We may send notices to the email on file for your account or by posting in the Service. You will send legal notices to legal@easiq.ai and to EASIQ LLC at: 3225 McLeod Drive, Las Vegas, NV 89121. Notices are effective on delivery.
32. Export, Sanctions & Anti-Corruption
You will comply with all applicable export-control, sanctions, and anti-corruption laws (including U.S. OFAC, EAR, and the FCPA). You will not export, re-export, or provide the Service to any embargoed country or restricted party.
33. Changes to the Terms
We may update these Terms. Material changes will be notified by email or in-app at least 14 days before they take effect, except where a shorter period is required for legal, security, or regulatory reasons. Continued use after the effective date constitutes acceptance. If you do not agree, your remedy is to stop using the Service and close your account.
